Nuovo Ledger API End User License Agreement
Effective date: September 5, 2026
This Agreement covers Nuovo Ledger API, a private internal accounting connector provided by Tufenk Enterprises LLC DBA Nuovo. By authorizing or using it with QuickBooks Online, you agree.
1. Internal use only
The software is for Nuovo’s own QuickBooks Online books and Nuovo owners or authorized agents on Nuovo-controlled systems. It is not sold on the Intuit App Store, is not a consumer application, and is not licensed for the public or other businesses.
2. License and restrictions
Authorized users receive a limited, non-exclusive, non-transferable, revocable right to use the software solely for Nuovo internal accounting with Nuovo’s QuickBooks Online company file. You may not sell, sublicense, rent, redistribute, access another QuickBooks Online company file, reverse engineer except where law allows, or use the software unlawfully. Keep credentials secure.
3. Intuit and QuickBooks
The software connects through Intuit. Intuit is not a party to this Agreement, and Intuit’s terms and policies govern its services. Nuovo is not affiliated with Intuit beyond using its developer platform.
4. No warranty
The software is provided “as is” and “as available.” To the fullest extent permitted by law, Nuovo disclaims express and implied warranties, including merchantability, fitness, and non-infringement, and does not guarantee uninterrupted or error-free operation.
5. Limitation of liability
To the fullest extent permitted by law, Nuovo is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of data, profits, or business. Nuovo’s total liability is no more than US $100.
6. Termination
Nuovo may suspend or end access. Users may stop using and disconnect at any time. Upon termination, stop using the software and its tokens. The warranty, liability, and governing-law provisions survive.
7. Governing law
California law governs this Agreement. Exclusive venue is in the state or federal courts in Fresno County unless law requires otherwise.
